1. Agreement to Terms

By accessing or using the ZingBot website and services at zingbot.de (the “Site” and “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must discontinue use of the Site and Services immediately.

ZingBot is a trading name of Gecckio Limited, a company registered in Hong Kong (“Company”, “we”, “us”, or “our”). These Terms constitute a legally binding agreement between you (“User”, “you”, or “your”) and the Company.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Services after any modifications indicates your acceptance of the updated Terms.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Services under applicable law
• Provide accurate and complete registration information

By using the Services, you represent and warrant that you meet all eligibility requirements.

3. User Registration

To access certain features of the Services, you must register for an account. When registering, you agree to:

• Provide true, accurate, current, and complete information
• Maintain and promptly update your registration information
• Keep your password confidential and secure
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

4. Description of Services

ZingBot provides automation tools and services for the XING professional networking platform. Our Services are designed to help users manage their XING presence more efficiently.

Important Notice: ZingBot is an independent service and is not affiliated with, endorsed by, or officially connected to XING or New Work SE. Use of our Services is subject to XING’s own terms of service and acceptable use policies.

You acknowledge and accept that:

• Third-party platforms may restrict or prohibit automation tools
• Your use of ZingBot with XING is at your own risk
• We are not liable for any consequences arising from XING’s response to your use of our Services
• Platform policies may change, potentially affecting Service functionality

5. Fees and Payment

5.1 Pricing

Current pricing is available on our website.

5.2 Payment Methods and Merchant of Record

All payments are processed by Paddle.com Market Limited (“Paddle”), who acts as our Merchant of Record. This means Paddle is the entity that sells the Services to you and handles all payment processing, billing, invoicing, and related customer support for payment matters. Paddle’s terms of service and privacy policy apply to all payment transactions. We accept payment via credit card, debit card, and other methods as displayed during checkout.

5.3 Billing

Subscriptions are billed in advance on a recurring basis according to your selected plan (monthly or annually). Your subscription will automatically renew unless cancelled before the renewal date.

5.4 Taxes

Prices may be exclusive of applicable taxes. You are responsible for paying any taxes associated with your use of the Services.

6. Free Trial

We may offer a free trial period for new users. Trial terms:

• Card details may be required for verification purposes
• Trial length and features are specified at signup
• After the trial period, your account will automatically convert to a paid subscription unless cancelled
• Trial offers are limited to one per user/organization

7. Cancellation and Refunds

7.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period.

8. Intellectual Property Rights

8.1 Our Content

The Site and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, graphics, and design) are owned by ZingBot, its licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services solely for your personal or internal business purposes in accordance with these Terms.

8.3 Restrictions

You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks without written consent
• Reverse engineer, decompile, or disassemble any software
• Remove any copyright or proprietary notices

9. Prohibited Activities

You agree not to:

1. Use the Services for any unlawful purpose or in violation of any laws
2. Attempt to gain unauthorized access to the Services or related systems
3. Interfere with or disrupt the integrity or performance of the Services
4. Transmit any malware, viruses, or harmful code
5. Scrape, harvest, or collect data from the Site without permission
6. Use the Services to spam, harass, or harm others
7. Impersonate any person or entity
8. Use the Services for competitive analysis or to develop competing products
9. Circumvent any security measures or access controls
10. Share your account credentials with third parties
11. Use automated systems to access the Services beyond normal use
12. Violate the terms of service of any third-party platform accessed through our Services
13. Engage in any activity that could damage our reputation or business relationships
14. Assist or enable others in any of the above activities

10. Confidentiality, Exclusivity, and Competitive Products

10.1 Confidentiality of Service Usage

You agree not to disclose, publicly or privately, that you are a user of ZingBot or any details regarding your use of the Services without prior written consent from the Company. This includes, but is not limited to, disclosing such information to:

• Competing products or services
• XING, New Work SE, or their affiliates
• Any third party without our express authorization

This confidentiality obligation does not apply to customers’ employees or contractors, so long as they are bound by confidentiality agreements to honour the above.

10.2 Exclusivity and Non-Compete

During your use of the Services, you agree not to use any competing products or services that provide similar automation, enhancement, or management functionality for the XING platform. For the purposes of this section, “competing products” includes any tool or service that is used on the same XING accounts that you use with ZingBot, or any service that provides substantially similar functionality to ZingBot for the XING platform.

10.3 Liability Exclusion for Competitive Products

To the maximum extent permitted by applicable law, ZingBot shall not be liable for any losses, damages, or harm arising from or related to:

• Your use of competing products or services
• Actions taken by competing products against your accounts or data
• Any interference, data loss, or account issues caused by the simultaneous or historical use of competing products
• Any claims or damages resulting from your breach of the exclusivity provisions in Section 10.2

11. Termination and Denial of Service

ZingBot reserves the right, in its sole discretion and without prior notice or liability, to:

• Suspend or terminate your account and access to the Services
• Refuse to provide the Services to any person or entity
• Deny service for any reason or no reason at all
• Restrict access to certain features or functionality

Without limiting the foregoing, we may terminate or suspend your account immediately if we believe you have violated these Terms, engaged in fraudulent or illegal activity, or for any other reason we deem appropriate.

Upon termination, your right to use the Services will cease immediately. We are not obligated to provide refunds for any prepaid fees in the event of termination for cause.

12. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection and use practices.

By using the Services, you consent to the collection and processing of your data as described in the Privacy Policy.

13. Third-Party Services

The Services may integrate with or provide access to third-party services, including XING. We are not responsible for:

• The availability or accuracy of third-party services
• The content, policies, or practices of third parties
• Any damages arising from your use of third-party services

Your use of third-party services is subject to their respective terms and conditions.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF RESULTS

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE CLAIM
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
• WE SHALL NOT BE LIABLE FOR DAMAGES ARISING FROM THIRD-PARTY PLATFORM RESTRICTIONS OR ACCOUNT SUSPENSIONS

Some jurisdictions do not allow limitations on implied warranties or liability, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless ZingBot, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China (“Hong Kong”).

Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

18. Dispute Resolution

18.1 Informal Resolution

Before initiating any formal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at support@zingbot.de. We will attempt to resolve the dispute within 30 days.

18.2 Formal Proceedings

If informal resolution is unsuccessful, either party may pursue formal legal action in accordance with the Governing Law and Jurisdiction section above.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published on the Site, constitute the entire agreement between you and ZingBot regarding the use of the Services.

21. Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to exercise any right under these Terms shall not constitute a waiver of that right.
